Section 01
Acceptance of Terms
These Terms of Use ("Terms") form a binding agreement between you and Founder Coded ("Founder Coded," "we," "us," or "our"). They govern your access to and use of the Founder Coded website, platform, community features, submissions, and related services (together, the "Platform").
By creating an account, submitting content, or otherwise using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and by our Community Guidelines and Privacy Policy.
If you do not agree with these Terms, please do not use the Platform.
Section 02
Eligibility
You must be at least the age of majority in your province or territory of residence to create an account or submit content to the Platform.
By using the Platform, you represent and warrant that you meet these requirements and that you have the legal capacity to enter into these Terms. If you are using the Platform on behalf of a business or organization, you represent that you are authorized to bind that entity to these Terms.
Section 03
Member Accounts
To access most features you must create a member account. You agree to:
- Provide accurate, current, and complete information
- Keep your account information up to date
- Maintain the security and confidentiality of your login credentials
- Notify us promptly of any unauthorized access to your account
- Take responsibility for all activity that occurs under your account
You may not share your account, transfer it to another person, or create an account on behalf of someone else without their authorization. We may refuse, suspend, or remove accounts at our discretion where necessary to protect the community or the integrity of the Platform.
Section 04
Community Guidelines
All members are expected to follow the Founder Coded Community Guidelines, which are incorporated into these Terms by reference. The Guidelines describe how we treat one another on the Platform and set expectations for kindness, honesty, and respect.
Repeated or serious breaches of the Community Guidelines may result in content removal, suspension, or account termination.
Section 05
Business Profiles
Members may submit a business profile for inclusion in the Business Directory. Business profiles are reviewed by an administrator before being published, and Founder Coded may request changes, decline a submission, or unpublish a listing at its discretion.
By submitting a business profile, you confirm that the information you provide is accurate, that you are authorized to represent the business, and that publication of the profile does not infringe the rights of any third party.
Section 06
Community Events
Members may submit events for inclusion in the Community Events area. Every event is reviewed by an administrator before it appears publicly. We may approve, request changes, or decline any submission and may remove events at our discretion.
You are responsible for the accuracy of event details you submit and for organizing and delivering any event you host. Founder Coded is not a party to member events and does not guarantee attendance, outcomes, or compliance with applicable laws.
Section 07
Collaborations
Collaboration opportunities are posted and joined at the initiative of members. Founder Coded provides tools to help members find one another but does not participate in, supervise, or guarantee any collaboration.
You are responsible for evaluating collaborators, agreeing on scope, and handling any arrangements between the parties involved. Any disputes arising from a collaboration are the responsibility of the members involved.
Section 08
Playbook Contributions
Members may submit lessons, stories, and other contributions to the Playbook. All submissions are reviewed before publication and may be edited for clarity, length, or tone. We may decline or remove contributions at our discretion.
By submitting a contribution, you confirm that it is your own work (or that you have the necessary rights and permissions) and that it does not infringe the rights of any third party.
Section 09
Intellectual Property
The Founder Coded name, the Little Cloud character, our logos, designs, illustrations, platform design, software, and written content are owned by Founder Coded or its licensors, unless otherwise stated.
You may not copy, modify, distribute, sell, or create derivative works from any part of the Platform without our prior written consent, except as expressly permitted by these Terms or by applicable law.
All rights not expressly granted to you in these Terms are reserved by Founder Coded and its licensors.
Section 10
User Content
"User Content" includes any information, text, images, submissions, messages, profiles, events, collaborations, and other materials you provide to the Platform.
Ownership
You retain ownership of the User Content you create. Nothing in these Terms transfers ownership of your content to Founder Coded.
Licence to Founder Coded
By submitting User Content, you grant Founder Coded a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, adapt (for formatting), and distribute that content solely for the purpose of operating, improving, and promoting the Platform, including in newsletters, social channels, and related communications.
This licence continues for as long as the content is on the Platform and for a reasonable period afterward as required for backups, moderation, and legal or record-keeping purposes.
Your responsibilities
You are responsible for ensuring that you have the necessary rights, licences, and permissions to submit any content you upload, and that your content does not infringe the rights of any third party or violate any applicable law.
Section 11
Platform Availability
We work to keep the Platform available, but we do not guarantee uninterrupted or error-free access. The Platform may be temporarily unavailable due to maintenance, updates, service-provider issues, or events outside our reasonable control.
We may modify, suspend, or discontinue any part of the Platform at any time, with or without notice.
Section 12
Third-Party Services
The Platform may contain links to, or integrations with, third-party websites and services (for example, social platforms, calendars, or event registration pages). These third parties are not controlled by Founder Coded, and we are not responsible for their content, policies, or practices.
Your use of any third-party service is subject to that service's own terms and privacy policy.
Section 13
Prohibited Conduct
You agree not to use the Platform to:
- Harass, bully, threaten, or intimidate any person
- Post hate speech or discriminatory, harmful, or violent content
- Send spam, unsolicited promotions, or bulk messages
- Engage in fraud, deception, or misrepresentation
- Impersonate another person, business, or entity
- Infringe copyrights, trademarks, or other intellectual-property rights
- Upload viruses, malware, or other harmful software
- Scrape, crawl, or extract data from the Platform without our written permission
- Attempt to bypass, disable, or interfere with moderation or security features
- Interfere with the operation of the Platform or the experience of other members
- Engage in any illegal activity or encourage others to do so
Founder Coded may remove content, restrict features, or suspend accounts at its discretion where necessary to protect the community or the Platform.
Section 14
Suspension or Termination
We may suspend or terminate your access to the Platform, in whole or in part, at any time and without prior notice where we reasonably believe you have breached these Terms, the Community Guidelines, or applicable law, or where necessary to protect the Platform or its members.
You may close your account at any time by contacting us at hello@foundercoded.ca. Some information may be retained after termination as described in our Privacy Policy or as required by law.
Section 15
Disclaimer
Founder Coded provides a platform for founders to connect. The Platform and all content are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, to the fullest extent permitted by law.
We do not guarantee:
- That any collaboration, partnership, or introduction will occur
- Any sales, revenue, or business outcomes
- Any investment, funding, or employment opportunities
- The accuracy, quality, or legality of member content or submissions
- That the Platform will be uninterrupted, secure, or error-free
Members are responsible for their own decisions, agreements, and business outcomes.
Section 16
Limitation of Liability
To the fullest extent permitted by law, Founder Coded and its officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunities, arising out of or related to your use of the Platform, whether based in contract, tort (including negligence), statute, or any other legal theory, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability arising out of or related to these Terms or your use of the Platform will not exceed one hundred Canadian dollars (CAD $100).
Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including under Canadian consumer-protection legislation.
Section 17
Indemnification
You agree to indemnify, defend, and hold harmless Founder Coded and its officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Platform
- Your User Content
- Your breach of these Terms or the Community Guidelines
- Your violation of any applicable law or the rights of a third party
Section 18
Changes to These Terms
We may update these Terms from time to time to reflect changes to the Platform, our practices, or applicable law. When we do, we will update the "Last updated" date at the top of this page.
Where a change is material, we will provide additional notice through the Platform or by email. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
Section 19
Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles.
You agree that any dispute arising out of or related to these Terms or the Platform will be subject to the exclusive jurisdiction of the courts located in Ontario, Canada, except where prohibited by applicable law.
